    Terms of Service

    These Terms of Service (“Terms”) govern your use of the Priority Path Logistics (“Priority Path Logistics,” “we,” “us,” “our”) website at prioritypathlogistics.net and our courier & delivery services. By requesting a quote, booking a delivery, or using our site, you agree to these Terms.



    Who We Are
    Priority Path Logistics provides local same-day and regional courier/delivery services for businesses, with scheduled routes and dedicated runs by request.



    Service Availability & Hours
    • Office hours: Mon–Fri, 9:00 AM–5:00 PM (ET).
    • After-hours & weekends: by request (confirmed at booking).
    • Requests received after 3:00 PM (ET) may be scheduled for the next business day unless confirmed.



    Quotes, Orders & Changes
    • Quotes are good-faith estimates based on information you provide (distance, service speed, size/weight, access, wait time, stops, after-hours).
    • Final charges may include tolls, parking, fuel/wait fees, return trips, or extra stops if needed.
    • Changes (time, address, load, access) may affect price or feasibility; we’ll confirm revisions before dispatch.
    • We may refuse or cancel an order that is unsafe, unlawful, or not feasible.



    Customer Responsibilities
    • Provide accurate pickup/drop-off details, contact names, phone numbers, and access instructions.
    • Ensure items are securely packaged, labeled, and ready at pickup time.
    • Confirm safe/legally compliant contents and weights within vehicle limits.
    • Provide safe access/parking and any required entry codes, badges, or dock details.

    • If your facility requires special insurance wording/endorsements or a vendor-portal upload, tell us at booking and send the exact legal entity name and address plus required wording (or a portal invite).



    Prohibited or Restricted Items
    • No illegal substances, weapons, live animals, cash/cash-equivalents, or loose/unpackaged valuables.
    • Hazardous materials (e.g., regulated hazmat, corrosives, explosives, radioactive) are not accepted unless expressly agreed in writing and compliant with all laws and carrier requirements. Contact us in advance for any special handling requests.



    Pickup Windows & Delivery Timing
    • We schedule ASAP and will provide an ETA at booking. Traffic, weather, road closures, and site access may affect timing.
    • If no recipient is available, we’ll attempt to contact you for instructions. Redelivery/return or wait time fees may apply.



    Proof of Delivery (POD)
    • Standard POD includes timestamp, recipient name, and a photo or signature when applicable. Electronic notices are acceptable records of completion.



    Insurance & COl
    • We maintain business liability coverage appropriate to our services. A Certificate of Insurance (“COI”) is available upon request.

    • If your facility requires special insurance wording or endorsements (e.g., Additional Insured, Waiver of Subrogation, Primary/Non-Contributory) or a vendor portal upload, tell us at booking and provide the exact legal entity name, address, and required language (or send a portal invite).

    • Processing typically takes 1–2 business days after we receive a complete request; we cannot issue backdated certificates.

    • Endorsement, portal, or admin fees may apply. All endorsements are subject to insurer approval; if approval is denied, we may reschedule or cancel the job.

    • For high-value shipments, you are responsible for obtaining additional coverage as needed. Unless otherwise agreed in writing, our Limitation of Liability still applies.




    Rates, Invoicing & Payment
    • Rates are based on distance, service speed (same-day/scheduled/rush), size/weight, wait time, stops, after-hours needs, and pass-through costs (tolls/parking).
    • Unless we approve credit terms, payment is due upon completion or invoice receipt.
    • Late balances may incur a reasonable late fee and reasonable collection costs where permitted by law. Returned/failed payments may incur a fee.

    •  Applicable taxes may be added where required by law.



    Cancellations & No-Shows
    • Cancel before dispatch (before a driver is assigned or en route): no charge.
    • After dispatch or on-site: a trip/attempt fee and any incurred costs (wait time, tolls, parking) may apply.
    • If freight isn't ready at the scheduled time, wait charges or a reschedule fee may apply.



    Damage, Loss & Claims
    • Report any issues within 48 hours of delivery with photos and a description.
    • Our total liability for loss or damage is limited to the lesser of (a) the fees you paid for the specific delivery, or (b) $100, unless a higher value has been declared and agreed to in writing before dispatch.
    • We are not liable for consequential, incidental, special, or lost-profits damages.



    Subcontractors
    • We may use qualified subcontracted drivers to perform services. We remain responsible for service coordination and communication.



    Communications & SMS
    • By providing a phone number, you consent to receive texts/calls about quotes, scheduling, and delivery updates.

    • Message/data rates may apply. Message frequency varies based on your request. 

    • Reply STOP to opt out; HELP for help. 

    • We do not send marketing texts unless you opt in.

    Website Use
    • The site and its content are provided “as is.” We do not guarantee uninterrupted or error-free operation.
    • Do not misuse the site (e.g., attempt to breach security, scrape, or interfere with operation).



    Privacy
    • Your use of our site and services is also governed by our Privacy Policy.



    Disclaimers
    • Except as expressly stated, we make no warranties (express or implied) regarding the services, including merchantability, fitness for a particular purpose, or non-infringement. Real-world conditions (traffic, weather, access) may affect timing.



    Limitation of Liability
    • To the maximum extent permitted by law, our total liability arising from or related to any service or these Terms will not exceed the amount you paid for the specific delivery at issue, or $100 if no fees were paid, and we are not liable for indirect or consequential damages.



    Indemnification
    • You agree to indemnify and hold Priority Path Logistics harmless from claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your breach of these Terms, (b) your instructions, packaging, or contents, or (c) your violation of law.



    Force Majeure
    • We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., severe weather, accidents, road closures, labor actions, power or network outages).




    Severability

    • If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.


    These Terms, together with your confirmed order details (including any written quote/confirmation), constitute the entire agreement between you and Priority Path Logistics regarding the services.




    General

    • Assignment. You may not assign or transfer these Terms (or any rights or orders under them) without our prior written consent. We may assign these Terms without restriction, including to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.

    •  No Waiver. Our failure to enforce any provision is not a waiver of that provision or any other provision. Any waiver must be in a written agreement signed by us.

    • Survival. Payment obligations; Damage, Loss & Claims; Disclaimers; Limitation of Liability; Indemnification; Severability; and Governing Law & Disputes—plus any provisions that by their nature should survive—will survive termination.




    Governing Law & Disputes
    • These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules.
    • Venue for any dispute will be in state or federal courts located in Richmond, Virginia. Each party consents to personal jurisdiction there.



    Changes to These Terms
    • We may update these Terms from time to time. We’ll post the new effective date when we do. Your continued use after changes means you accept the updated Terms.
